Legal Work is NOT a DIY project!
In my work at the State, I do a lot of work with entrepreneurs. I have been stunned to see how many startups decide that their legal work is a DIY (Do it Yourself) project. Incorporation, bylaws, licenses, contracts - it's amazing to me how many I've seen that were copied from somewhere and modified, or just cobbled together. NO NO NO!
I've said it before. Get great legal counsel for your corporate work (including securities), for your intellectual property work and for your licensing/contracts. Best is s firm that has specialists (at least) in these key areas as that covers most of the bases for a startup (hopefully you won't need litigation support!)
When you write a license or a contract, you can end up with terms that mean something you're not sure they mean, or that expose you to risks you (and your investors/customers/partners) didn't mean to take.
Legal work "looks" expensive up front. Remember that even "in the middle" (i.e. not on the coasts) there are professionals with world class expertise. Don't pay coast prices, just make sure you are looking for the right expertise.
And never, ever, DIY your legal work!
